Terms of Service

These Terms of Service ("Terms") govern your access to and use of the QuantumPortal platform (the "Service") provided by Quantum AI Research And Development ("Quantum", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of terms
If you are using the Service on behalf of a company, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, you may not use the Service.
2. The Service
QuantumPortal is a business platform for managing projects, corrections, progress updates, flowcharts, users, and team communications within reseller company accounts. Features may change, be added, or be removed over time.
3. Accounts and eligibility
- The person who registers a company becomes that company's administrator and may create and manage additional users within the account.
- You must provide accurate, current, and complete information and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
- Access to the Service requires verification via a one-time passcode sent to your email.
4. Fees, plans and refunds
- The Service is currently made available to your company without a subscription charge. If we introduce paid plans, the applicable fees, billing cycle, and taxes will be presented to you before you subscribe and will form part of these Terms.
- Unless a signed order form or plan expressly states otherwise, fees are non-refundable, including for partial billing periods and for periods during which you did not actively use the Service.
- Where a refund is required by applicable law, or expressly offered (for example, a stated money-back period on a paid plan), we will honour it. Approved refunds are returned using the original payment method within a reasonable period.
- We may change fees for future billing periods with prior notice. Continued use after a fee change takes effect constitutes acceptance of the new fees.
5. Roles and access
Access to data is scoped to your company account. Company administrators can manage their own users and projects; allocated members can collaborate on the projects assigned to them. A platform super administrator provides oversight across companies and may enable or disable company access, accounts, or projects to protect the integrity of the Service.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Attempt to gain unauthorized access to other accounts, data, or systems.
- Upload or transmit malware, or files intended to disrupt or damage the Service.
- Interfere with, overload, or circumvent the security or access controls of the Service.
- Upload file types that are not permitted, or content you do not have the right to share.
7. Your content
You retain ownership of the content you and your company submit to the Service. You are solely responsible for that content and for ensuring you have the necessary rights to it. You grant us the limited rights needed to host, process, and display the content in order to operate the Service. Uploaded chat attachments are automatically deleted approximately 24 hours after sending.
8. Data processing and protection
- Roles. For the personal data your company submits about its own staff and clients, your company is the data controller (Data Fiduciary) and Quantum acts as a data processor (Data Processor) that processes such data only on your documented instructions to provide the Service.
- Data Processing Agreement. Where required, our Data Processing Agreement (DPA) governs our processing of personal data on your behalf and, once executed, forms part of these Terms.
- Sub-processors. We use a limited number of service providers (for example, email delivery for one-time passcodes and hosting infrastructure) to operate the Service. These sub-processors are bound by confidentiality and data-protection obligations.
- Security. We apply technical and organizational safeguards described in our Privacy Policy, including password hashing, one-time-passcode verification, CSRF protection, and account-level access controls.
- Breach notification. In the event of a personal-data breach affecting your data, we will notify you without undue delay and provide the information reasonably needed for you to meet your own notification obligations.
- Applicable law. We process personal data in accordance with India's Digital Personal Data Protection Act, 2023, and, where it applies to you or your users, the EU General Data Protection Regulation (GDPR). Individual rights and legal bases are described in the Privacy Policy.
- International transfers. Where personal data is transferred across borders, we take steps to ensure an appropriate level of protection as required by applicable law.
- Return and deletion. On termination, personal data is returned or deleted as described in the "Cancellation and data offboarding" section, except where retention is required by law.
9. Availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or reasons beyond our control.
10. Service levels
- We aim to provide a high level of availability and to respond to support requests promptly, prioritising issues by severity. These aims are targets, not guarantees, unless a separate written Service Level Agreement (SLA) has been agreed with your company.
- Where a written SLA applies, it governs the availability commitment, how availability is measured, support response targets, planned-maintenance and exclusion windows, and any service credits. Service credits, where offered, are your sole and exclusive remedy for failing to meet an availability commitment.
- Scheduled maintenance, emergency maintenance, and outages caused by factors outside our reasonable control (including your systems, networks, or third-party services) are excluded from any availability calculation.
11. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by law, Quantum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Service.
13. Cancellation and data offboarding
- How to cancel. A company administrator may stop using the Service at any time and can disable individual users from the Users area. To close an entire company account, contact us at support@quantumserves.com.
- Effect of cancellation. On cancellation, access to the Service ends. If you are on a paid plan, cancellation stops future renewals; it does not, by itself, entitle you to a refund of fees already paid (see "Fees, plans and refunds").
- Data export. For a grace period of 30 days after cancellation, you may request an export of your company's data by contacting support.
- Data deletion. After the grace period, your company's data may be permanently deleted, except where retention is required by law or for legitimate business records. Chat attachments continue to auto-delete approximately 24 hours after sending regardless of account status.
14. Suspension and termination
We may suspend or disable access to the Service, an account, or specific users where we reasonably believe these Terms have been violated, or to protect the Service and its users.
15. Intellectual property
The Service, including its software, design, and branding, is owned by Quantum and its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
16. Changes to these terms
We may update these Terms from time to time. The "Last updated" date above indicates the most recent revision. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts having jurisdiction over the registered location of Quantum AI Research And Development shall have exclusive jurisdiction over any disputes.
